LLC annual report basics

Find the right LLC filing, read the deadline rule, separate fees from taxes and plan the next step using verified state examples.

Build your filing checklist around your own LLC: its state, registration date and exact report name. Start with the official record, then work through timing, payment and proof of filing. The examples below show what to look for; use the linked state pages for the rule that applies to your business.

Find the filing and its cycle

Write down the agency’s report name before searching for a form. Keep the filing frequency and any registration-year condition together. Do not replace a biennial rule with an annual reminder just because you searched for an “annual report.”

Read the deadline as a rule

Record the agency’s wording, including the action that must happen by the deadline. Check whether the instruction concerns submitting a form, making a payment or mailing a voucher. Use a calculated date only when the cited rule supports the calculation.

Florida: Your payment voucher and check or money order must be postmarked and mailed on or before May 1 to avoid a late fee.

Separate the filing fee from other obligations

Create separate checklist items for the report and any tax or information return identified by the agency. Read the entity scope on each record. Do not use a report fee as an estimate of every amount your business may owe.

Florida’s published LLC annual-report fee is $138.75.

Keep payment and confirmation together

Save the filing confirmation beside your payment record and the deadline wording you used. If the deadline has passed, check the consequence field before treating a payment as the final step. Use the agency’s current status record to decide what to do next.

Florida: If no report is filed by the third Friday of September, dissolution or revocation occurs at close of business on the fourth Friday of September. Reinstatement requires the reinstatement fee plus all annual report fees due.

Set the next reminder from the right cycle

After filing, return to the rule and check the next eligible cycle. For a date tied to registration, keep the registration date with the record. For a printed expiration or official notice, enter that date in your dashboard and retain the notice.
